Software License, Purchase & Risk Terms

These Terms govern your purchase and use of software licenses supplied by ICF Market Ltd (company no. 15566563), 2 Frederick Street, Kings Cross, London WC1X 0ND, United Kingdom (“ICF Market”, “we”, “us”, “our”). By completing an order and ticking the acceptance box at checkout, you (“you”, “the customer”, “the licensee”) confirm that you have read, understood and agree to be bound by these Terms. If you do not agree, do not complete your purchase.
1. What you are purchasing — a license, not ownership
Your purchase grants you a limited, personal, non-exclusive, non-transferable and revocable right to use the software, indicator, add-on or related digital product you have ordered (the “Software”). You are not buying the Software itself or any ownership of it. All title, copyright and intellectual property rights in and to the Software remain at all times with ICF Market and its licensors.
Unless your order expressly states otherwise, a license is issued for use by a single licensee on the authorised number of machines/seats for that product. The license, the license key and the downloadable files are issued to you personally.
2. Permitted use
You may install and use the Software on your own authorised machine(s), for your own personal or internal business trading and market-analysis purposes, in accordance with these Terms and any activation, seat or machine limits applicable to your product.
3. Restrictions & prohibited conduct
You must not, and must not permit or assist anyone else to:
- share, lend, rent, lease, resell, sublicense, publish, distribute or otherwise make the Software, the files or the license key available to any other person or machine;
- transfer, assign or move the license to another person, account or business without our prior written approval;
- rename, repackage, re-brand or otherwise present the Software in a way intended to disguise its origin or your identity, or to evade license controls;
- copy, modify, adapt, translate or create derivative works from the Software (except where, and only to the extent, this cannot lawfully be restricted);
- crack, patch, emulate, bypass, disable, remove or circumvent any licensing, activation, machine-binding, watermark or protection mechanism;
- reverse-engineer, decompile, disassemble or attempt to derive the source code or underlying ideas of the Software, except to the limited extent this right cannot be excluded by applicable law;
- remove, obscure or alter any copyright, trademark, license or proprietary notice;
- use the Software to develop, train or assist a competing product or service, or to extract its data or logic for that purpose;
- use the Software in any unlawful, fraudulent or abusive manner, or in breach of any third-party platform’s terms (including your trading platform or broker).
4. License enforcement, suspension & revocation
Licenses may be bound to your machine(s) and activated electronically. We expressly reserve the right, at our discretion and where reasonably justified, to:
- suspend, disable, limit or revoke your license and access to the Software where we identify a breach of these Terms, license sharing, tampering, fraud, a chargeback, or misuse;
- withhold, pause or discontinue support, updates and download access in such cases;
- recover our losses and pursue any remedy available to us, including claims for damages, account of profits, injunctive relief and other legal action, and to report unlawful conduct to the relevant authorities.
Where access is suspended or revoked because of your breach, no refund is due. Suspension or revocation does not waive any other right or remedy we may have.
5. Risk disclosure (trading software)
Please read this section carefully.
- The Software consists of trading, charting, order-flow and analytical tools. It is not financial, investment, tax or legal advice, and it does not constitute a recommendation to buy, sell or hold any instrument.
- Trading and investing in financial markets carry a high level of risk and may not be suitable for everyone. You can lose some or all of your capital. You should not trade with money you cannot afford to lose.
- No profit is guaranteed. Any examples, figures, signals, projections or past or hypothetical performance shown by the Software or in our materials are illustrative only and are not a promise or indication of future results.
- You are solely responsible for your own trading decisions, risk management, configuration and use of the Software, and for compliance with the rules of your broker, exchange and jurisdiction.
- The Software may contain errors, may rely on third-party data or platforms (such as NinjaTrader and market-data providers), and may be affected by connectivity, latency, data quality or platform issues. We do not guarantee that it is uninterrupted, error-free or fit for any particular trading outcome.
- To the fullest extent permitted by law, ICF Market is not liable for any trading or investment losses, missed opportunities, or decisions made in reliance on the Software.
6. Digital delivery & access
The Software is supplied digitally. After your payment is confirmed, your license and a download link are normally made available to you electronically (for example by email and/or in your account area). Access may be subject to a limited download window and/or a limited number of downloads, and to license activation on your machine.
You are responsible for keeping your license key, download links and account credentials secure and confidential, and for meeting the technical requirements of the product (for example a supported version of your trading platform). Sharing or exposing these may lead to suspension under section 4.
7. Refunds
Because the Software is a personal, licensed digital product that is made available to you immediately on confirmation of payment, sales are generally final and non-refundable once the license has been issued and/or the files have been downloaded or activated.
We may, at our discretion, consider a refund in limited circumstances such as a genuine failure of delivery that we cannot resolve, or a duplicate/erroneous charge. Refunds are not available where access has been suspended or revoked for breach of these Terms. Nothing in this section removes any non-excludable statutory rights you may have under applicable consumer law. To request consideration, contact us with your order details.
8. Support
We may provide reasonable support for the Software through the channels we designate. Support is provided on a reasonable-efforts basis, may be limited to current product versions, and may be reduced or withdrawn where a license is in breach, suspended or revoked. We do not guarantee any specific response time or uptime.
9. Intellectual property
The Software, its code, design, documentation, branding and all related intellectual property are owned by ICF Market and/or its licensors and are protected by law. These Terms grant you a license to use the Software only; they do not transfer any ownership. If you give us feedback or suggestions, you grant us a non-exclusive, royalty-free right to use them without obligation to you.
10. Disclaimers & limitation of liability
To the fullest extent permitted by law, the Software is provided “as is” and “as available”, without warranties of any kind, whether express or implied, including any implied warranties of merchantability, satisfactory quality, fitness for a particular purpose or non-infringement.
To the fullest extent permitted by law, ICF Market’s total aggregate liability arising out of or in connection with the Software and these Terms is limited to the amount you actually paid for the relevant license. We are not liable for any indirect, incidental, special or consequential loss, or for loss of profit, revenue, data or trading opportunity. Nothing in these Terms limits or excludes any liability that cannot be limited or excluded under applicable law (such as liability for death or personal injury caused by negligence, or for fraud).
11. Changes to these Terms
We may update these Terms from time to time. The version in force at the time of your purchase (shown by the version number and date above) applies to that purchase. The current version is published on this page.
12. Governing law
These Terms and any dispute arising out of or in connection with them are governed by the laws of England and Wales, and are subject to the exclusive jurisdiction of the courts of England and Wales, without prejudice to any non-excludable rights you may have in your country of residence.
